SKNV NUMBING CREAM WEBSITE TERMS OF SALE AND USE

These Terms of Sale and Use (“Terms”) constitute a legally binding agreement between you and SKNV LLC, together with its affiliates where applicable (“SKNV,” “we,” “us,” or “our”). These Terms govern:

1. your access to and use of the website located at sknvnumbingcream.com and any related webpages, account features, ordering tools, or services (collectively, the “Site”); and
2. all purchases of products offered through the Site (the “Products”).

By accessing or using the Site, creating an account, or placing an order through the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site or place any orders through it.

1. Scope

These Terms apply to all use of the Site and to all orders submitted through the Site.

If SKNV and you have entered into a separate written agreement signed by both parties that expressly governs purchases of the Products through the Site, that agreement will control solely to the extent of any direct conflict with these Terms.

2. Business-to-Business Sales Only; Eligible Customers

The Site is intended solely for use by licensed healthcare providers and duly organized medical practices or healthcare entities that are legally authorized to purchase, possess, use, administer, and/or dispense the Products under applicable law.

By using the Site or placing an order, you represent, warrant, and agree that:

• you are acting on behalf of yourself as a licensed healthcare provider or on behalf of a medical practice or healthcare entity authorized to purchase the Products;
• you have authority to bind the individual or entity identified in the order;
• all information you provide to SKNV, including licensure and practice information, is accurate and current;
• you maintain all licenses, permits, registrations, and authorizations required to purchase, possess, use, administer, or dispense the Products; and
• you will promptly notify SKNV if any such license or authorization is restricted, suspended, or revoked.

Products may not be purchased for personal, household, consumer, or other non-professional use.

SKNV may request documentation to verify licensure, identity, or eligibility before accepting any order.

3. Account Registration and Security

Certain Site functions may require account registration.

You are responsible for:

• maintaining the confidentiality of your account credentials;
• ensuring account information remains accurate and current; and
• all activities conducted through your account.

You must promptly notify SKNV of any suspected unauthorized use of your account.

SKNV may suspend, restrict, or terminate accounts that appear inaccurate, unauthorized, or used in violation of these Terms.

4. Orders Subject to Verification and Acceptance

All orders submitted through the Site are subject to review and acceptance by SKNV. Submission of an order constitutes an offer to purchase Products and does not obligate SKNV to fulfill the order.

SKNV may, in its sole discretion and for any lawful reason:

• accept or reject any order;
• request additional documentation or verification;
• delay fulfillment pending review;
• limit order quantities;
• cancel orders;
• refuse shipment to specific persons, entities, or jurisdictions; or
• restrict orders based on compliance, licensing, payment, or availability considerations.

An order is accepted only when SKNV confirms acceptance and begins fulfillment.

5. Pricing; Payment; Taxes

All prices displayed on the Site are subject to change without notice until an order is accepted.

Despite reasonable efforts, the Site may occasionally contain pricing or typographical errors. SKNV reserves the right to correct such errors and to cancel any order submitted based on incorrect pricing or information.

By submitting an order, you authorize SKNV to charge the payment method provided for:

• the purchase price of the Products;
• applicable shipping and handling charges; and
• applicable taxes.

You represent that you are authorized to use the payment method provided and that billing information supplied is accurate.

You are responsible for all applicable taxes associated with your purchase, excluding taxes based solely on SKNV’s net income.

If payment is declined, reversed, or charged back improperly, SKNV may suspend your account, cancel pending orders, and pursue recovery of unpaid amounts and reasonable costs incurred in connection with the failed or disputed payment to the extent permitted by law.

6. Shipping; Delivery; Risk of Loss

SKNV will determine the carrier, shipping method, and routing unless otherwise agreed in writing.

Any shipping or delivery dates provided are estimates only and are not guaranteed.

You are responsible for ensuring that:

• the shipping address is accurate and complete;
• shipment to the destination is lawful; and
• authorized personnel are available to receive the Products.

Title to and risk of loss for the Products pass to you upon delivery of the shipment to the designated delivery address.

SKNV is not responsible for delivery delays caused by carriers, weather events, inaccurate shipping information, failed delivery attempts, or other circumstances beyond SKNV’s reasonable control.

7. Inspection and Claims

You must inspect all shipments promptly upon receipt.

Claims for shipping damage, shortage, or incorrect shipment must be submitted to SKNV in writing within five (5) business days after delivery. Claims for defects not reasonably discoverable upon initial inspection must be submitted within fifteen (15) days after delivery.

Claims must include supporting documentation reasonably requested by SKNV.

Failure to submit a timely claim constitutes acceptance of the shipment.

If SKNV determines that a claim is valid, your sole remedy will be, at SKNV’s option:

• replacement of the affected Product,
• issuance of a credit, or
• refund of the purchase price for the affected Product.

8. Returns; Refunds; Cancellations

Due to the regulated nature of medical-use products, all sales are final except as expressly provided in these Terms or required by law.

Products may not be returned without SKNV’s prior written authorization.

SKNV will not accept returns of Products that have been opened, altered, relabeled, stored improperly, or otherwise handled outside SKNV’s control.

SKNV will not issue refunds or credits for Products that are not used before their beyond-use date or expiration date.

SKNV is not obligated to accept cancellation requests after an order has been submitted, though SKNV may attempt to accommodate cancellation requests before fulfillment begins.

9. Storage, Handling, and Lawful Use

You are solely responsible for proper storage, handling, administration, dispensing, and use of all Products following delivery.

You agree to:

• store and handle Products in accordance with labeling, instructions, and applicable law;
• ensure Products are received and stored by authorized personnel;
• not use Products after their beyond-use date or expiration date;
• not adulterate, relabel, repackage, or unlawfully transfer Products; and
• maintain records required by applicable law.

SKNV shall have no responsibility for your handling, storage, or use of Products after delivery.

9A. No Resale; Office-Use Only

Products purchased through the Site are intended solely for professional use within the purchaser’s licensed medical practice.

Unless expressly permitted under applicable law, you agree that you will not:

• resell Products to wholesalers, distributors, pharmacies, or other third parties;
• distribute Products outside your medical practice;
• divert Products into secondary markets; or
• advertise or market Products for resale.

Nothing in this Section prohibits lawful administration to patients or dispensing to patients in the course of professional medical practice where permitted by applicable law.

10. Purchaser Compliance Obligations

You agree to comply with all applicable federal, state, and local laws and professional standards related to the purchase, possession, administration, dispensing, promotion, and use of the Products.

You are solely responsible for determining:

• whether purchase and use of the Products are permitted in your jurisdiction;
• whether administration or dispensing is permitted within your practice model;
• any licensing, supervision, or regulatory requirements applicable to your personnel; and
• billing or reimbursement practices related to the Products.

SKNV does not provide legal, regulatory, reimbursement, or practice-management advice through the Site.

10A. Compounded Product Status

Products offered through the Site may be compounded drug products prepared pursuant to applicable federal and state compounding laws and regulations.

You acknowledge and agree that:

• compounded drug products are not FDA-approved;
• the safety and effectiveness of compounded drugs have not been evaluated by the FDA in the same manner as FDA-approved drug products; and
• compounded drugs are typically prepared to meet the needs of individual patients when an FDA-approved product is not appropriate or available.

You are responsible for determining whether the use of any compounded product is appropriate within your professional practice.

10B. Government Health Care Program Representation

You acknowledge that Products offered through the Site may consist of compounded drug products or bulk drug substances that may not be eligible for reimbursement under federal or state government health care programs.

You agree that you are solely responsible for determining reimbursement eligibility and complying with all billing requirements.

To the extent a Product is not eligible for reimbursement under a Federal Health Care Program (as defined in 42 U.S.C. §1320a-7b(f)) or any state Medicaid or similar program, you agree that you will not submit claims for reimbursement for such Products to those programs.

SKNV makes no representations regarding reimbursement eligibility.

11. No Practice of Medicine; No Medical Advice

SKNV does not practice medicine and does not direct or control your clinical judgment.

You are solely responsible for patient evaluation, diagnosis, treatment decisions, informed consent, and administration or dispensing of Products.

Information on the Site is provided for general informational purposes only and does not constitute medical advice.

12. Adverse Event and Product Complaint Reporting

You agree to promptly notify SKNV of any adverse event, product complaint, medication error, or suspected defect relating to any Product purchased through the Site.

You agree to cooperate with SKNV in investigating such events and implementing any required corrective actions or recalls.

13. Website Use Restrictions

You may use the Site only for lawful business purposes related to evaluating and purchasing Products.

You may not:

• submit false or misleading information;
• impersonate another person or entity;
• interfere with Site security or operations;
• attempt unauthorized access to systems or data;
• scrape or harvest Site data using automated tools;
• reverse engineer Site technology; or
• use the Site to build a competing service.

SKNV may suspend or terminate access for violations of these restrictions.

14. Intellectual Property

All content and technology associated with the Site are owned by or licensed to SKNV and protected by intellectual property laws.

15. Privacy and Electronic Communications

Your use of the Site is also governed by SKNV’s Privacy Policy.

You consent to receive communications from SKNV electronically regarding your account, orders, and Site operations.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL MATERIALS PROVIDED THROUGH THE SITE ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

SKNV DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKNV SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

SKNV’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE ORDER GIVING RISE TO THE CLAIM.

18. Indemnification

You agree to defend and indemnify SKNV from any claims arising from:

• your breach of these Terms,
• your violation of law,
• your storage or use of Products,
• your medical decisions,
• inaccurate information provided through the Site, or
• your misuse of the Site or Products.

19. Suspension and Termination

SKNV may suspend or terminate your account or access to the Site if:

• these Terms are violated,
• account information is inaccurate,
• licensure concerns arise,
• payment concerns arise, or
• suspension is necessary for compliance or security.

20. Governing Law; Venue

These Terms are governed by the laws of the State of Florida.

Any dispute must be brought exclusively in the state courts of Broward County, Florida, or the federal courts in the Southern District of Florida.

21. Force Majeure

SKNV is not liable for delays or failures caused by events beyond its reasonable control.

22. Changes to Terms

SKNV may update these Terms at any time by posting revised Terms on the Site. Continued use of the Site constitutes acceptance.

23. Miscellaneous

These Terms constitute the entire agreement governing the Site and purchases through it.

Invalid provisions do not affect the remainder of the Terms.

SKNV may assign these Terms without restriction.
